1. Agreement to Terms

By accessing or using Mudafy's services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Mudafy is operated by Mudafy Inc.

2. Description of Service

Mudafy provides AI-powered photo editing services for real estate professionals, including but not limited to:

  • Virtual staging of empty rooms
  • Object removal from photos
  • Photo enhancement and color correction
  • Sky replacement
  • Other AI-powered image editing features

3. User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept all responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Credits and Payments

Our Service operates on a credit-based system:

  • Credits are required to use certain editing features
  • Credits can be purchased through our platform via Stripe
  • Credit prices are displayed at the time of purchase
  • All purchases are final and non-refundable, except as required by law
  • Credits do not expire unless your account is terminated
  • Credits cannot be transferred or sold to other users

5. Acceptable Use

You agree not to use the Service to:

  • Upload content that you do not have the right to use
  • Create misleading or fraudulent property listings
  • Upload illegal, harmful, threatening, abusive, or otherwise objectionable content
  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights of others
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for any purpose other than its intended use
  • Create derivative works or reverse engineer our AI technology

6. Content and Intellectual Property

Your Content

You retain all rights to the images you upload to our Service. By uploading content, you grant us a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service.

Edited Content

You own all rights to the edited images generated through our Service. You are free to use these images for any lawful purpose, including commercial use.

Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Mudafy Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7. AI-Generated Content Disclaimer

Our Service uses artificial intelligence to edit and enhance images. You acknowledge that:

  • AI-generated results may not always be perfect or accurate
  • Virtual staging creates digital representations that do not reflect actual furniture or decor
  • You are responsible for ensuring edited images accurately represent the property when used in listings
  • We recommend disclosing the use of virtual staging in property listings as required by local laws and regulations

8. Third-Party Services

Our Service may contain links to or integrate with third-party websites or services that are not owned or controlled by Mudafy. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

Your use of third-party services, including payment processing through Stripe, is subject to those services' terms and conditions.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY RESULTS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUDAFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Loss of business opportunities
  • Any damages arising from your use of the Service

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Mudafy and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
